There is no built-in way short of creating a cluster to have a hot standby Exchange server. You can easily install Exchange on the second server and move mailboxes to it if you need to. You can also use third party tools with Exchange 2003 such as Doubletake (aka HP Storage Mirror) or XOSoft's WANSync. There are also hardware/software bundle's from several vendors that I have not tested as of yet.

Have you had server failures that have prompted this request?

Yes. we have a server failure on some days back. So, i have installed an ADC and Moved all the mailboxes to the ADC server and its running fine now.
But Moving the mailboxes will take time..and it doesn't sound good.

Lets discuss about the third party sync software. How to configure the sync tool?? Will that works good..

I have worked with DoubleTake, they will give you a 30day trial of their software.  You want to make sure to get the Exchange configuration wizard.  If you do the installation is fairly easy as long as you read the documentation and follow the directions.
